Job Summary

The corporate Secretarial Executive is generally responsible for the corporate compliance, governance, and administration of companies and corporations in compliance with the Companies Act 2016 and Bursa Malaysia Securities Berhad ("Bursa")'s Listing Requirements.

Key Job Responsibilities

  • To provide support in all aspects of the company secretarial practice for companies under the group, including liaising and coordinating with the stakeholders as well as the external parties on secretarial-related matters as well as ensuring compliance with the relevant laws, rules, and regulations.

  • To assist in updating and maintaining statutory records of companies and timely lodgement/filing of the statutory documents for the companies under the group.

  • Assist in the incorporation of the Company (local & global)

  • Liaise and work with relevant team lead e.g.: Business Development, Finance, Corporate Resources & Administration to ensure completion of work

  • To prepare board/shareholder resolutions/minutes including preparation of circular resolutions, minutes of meetings, statutory forms & returns, and other corporate secretarial documents as and when required.

  • Arranging for signatures on resolutions and secretarial documents (including following up and filing of the same).

  • Maintenance and update of all secretarial records and statutory compliance required under the relevant authorities

  • To liaise with external company secretaries, auditors, SSM, and other authorities as and when required

  • Preparation of resolutions and statutory forms and follow through on signing and action required within timelines

  • Prepare agenda, issue notice, attend (where necessary), and record minutes of relevant board and board committees’ meetings

  • Assist in custodian functions of the Company Secretarial Department

  • Assist in drafting and making relevant announcements to Bursa Malaysia, submission to authorities, annual reports, circulars to shareholders, and corporate exercises

JOB REQUIREMENT

  • Possess a Bachelor's degree/Master's Degree in Accounting/Finance or equivalent professional qualifications in a related field.

  • ICSA qualification/ICSA Grad

  • 2-4 years of working experience in handling company secretarial matters (in-house and/or in a management firm)

  • Good interpersonal and communication skills, able to influence effectively with all levels of management.

  • Strong sense of initiative and responsibility, able to work independently, proactive with minimum supervision, and has a positive attitude

  • Able to work under pressure

  • Strong oral and written communication skills in English literacy language and Bahasa Melayu.

  • Systematic and resourceful with strong analytical skills.

  • Good to have computer literacy with knowledge of Microsoft Office application, MyCoID, and MBRS system for online submissions to SSM.

  • Good knowledge of the Companies Act, SSM requirements, Listing Requirements, Malaysian Code on Corporate Governance, and other relevant Securities Commission guidelines

  • Meticulous with a strong sense of responsibility, integrity & initiative.
